The Hidden Cost of Bad Contracts

The Hidden Cost of Bad Contracts
The Hidden Cost of Bad Contracts

Webinar Recap & Key Takeaways:

Most conversations about contract risk stop at signature. The redlines and liability caps get the attention, but the money tends to slip away afterwards: a price escalation nobody applied, an auto-renewal that rolled over at last year's rate, a rebate never claimed, or extra scope delivered and never billed. A contract can be drafted perfectly and still quietly stop earning what it should.

‍

Hosted by SpotDraft and In-House Connect, this panel brought together Richa Fortuna and David Hirsch, in conversation with Sabrina Pervez, to explore these challenges. Combining a buyer’s perspective from regulated financial services with a supplier’s perspective from a global services firm, the discussion examined where revenue leaks occur in signed contracts and who is responsible for catching them.

‍

The session covered where value loss usually begins, the pain points that come up most often, how responsibility should be split between legal, finance and the business, how to start reconciling contracts against billing without new budget, and whether to fix ownership or buy a tool first. The live polls told a consistent story. Most attendees were only fairly confident their contracts are billed as written, finance is usually the team doing the checking, and post-signature obligations are most often not tracked consistently.

Session highlights :

02:39 Sabrina Pervez explains that revenue rarely leaks during negotiation but after signature, through missed escalations and stale auto-renewals.

03:54 David Hirsch says contracts lose value from signature because negotiators rarely deliver them, making the handover critical.

06:41 Richa Fortuna warns that in regulated industries, auto-renewals roll over on stale regulatory terms, not just stale commercial rates.

07:22 David unpacks scope creep and how "free work" from account managers diverts resources, leaving both parties losing value.

20:19 The panel shares how to reconcile contracts against billing with no budget, using regular check-ins, a terms cheat sheet and risk tiers.

35:56 Asked to fix ownership or buy a tool first, both pick ownership, with Richa Fortuna wary of a CLM in an organizational vacuum.

47:53 David flags AI costs and "tokenomics" as contract terms to study now, as most organizations aren't budgeted for the impact.

50:53 Richa names a key red flag, identical invoices that accounts payable pays on autopilot without checking credits or SLAs.

"I think that contracts start losing value on the day it's signed... The people who sell them and negotiate them are not the same people who manage them through the contract delivery." - David Hirsch, Head of Commercial and Contract Management, Americas, Capgemini
